Section § 34740

Explanation

This section of the law says that the rules or bylaws of an organization must set the pay for all officers within it. Additionally, the pay for directors must not go beyond what is allowed in Section 34741.

The bylaws shall fix the compensation to be paid to all officers. The compensation received by directors shall not exeed that specified in Section 34741.

Section § 34741

Explanation

This law section discusses the compensation for officers and directors of a board. Until the bylaws are adopted, the board decides the pay for the secretary, tax collector, treasurer, and assessor. Directors can earn up to $100 per day when attending meetings or performing board-requested duties, but this cannot exceed six days a month. They are also eligible for reimbursement for expenses related to their board duties, following specific government code guidelines.

Until their compensation is fixed by the adoption of bylaws, the officers shall receive the following compensation for their services:
(a)CA Water Code § 34741(a) The secretary, tax collector, treasurer, and assessor, such sums as shall be fixed by the board.
(b)CA Water Code § 34741(b) Each director shall receive compensation in an amount not to exceed one hundred dollars ($100) per day for each day’s attendance at meetings of the board or for each day’s service rendered as a director by request of the board, not exceeding a total of six days in any calendar month, together with any expenses incurred in the performance of his or her duties required or authorized by the board. For purposes of this section, the determination of whether a director’s activities on any specific day are compensable shall be made pursuant to Article 2.3 (commencing with Section 53232) of Chapter 2 of Part 1 of Division 2 of Title 5 of the Government Code. Reimbursement for these expenses is subject to Sections 53232.2 and 53232.3 of the Government Code.
