(a)CA 商业法 Code § 6102(a) 在本分部中,除非上下文另有要求:
(1)CA 商业法 Code § 6102(a)(1) “资产”指批量销售标的存货和设备,以及主要用于或源于卖方业务并连同该存货和设备出售的任何有形和无形个人财产,但该术语不包括以下任何一项:
(i)CA 商业法 Code § 6102(a)(1)(i) 附着物(第9102条(a)款(41)项),但易于拆卸的工厂和办公机器除外。
(ii)CA 商业法 Code § 6102(a)(1)(ii) 承租人在不动产租赁中的权益。
(iii)CA 商业法 Code § 6102(a)(1)(iii) 根据非破产法通常免于债权人程序的财产。
(2)CA 商业法 Code § 6102(a)(2) “拍卖师”指卖方聘请其指导、实施、控制或负责拍卖销售的人。
(3)CA 商业法 Code § 6102(a)(3) “批量销售”指以下任一情况:
(i)CA 商业法 Code § 6102(a)(3)(i) 在拍卖销售或由清算人代表卖方进行的一系列销售中,指不属于卖方正常业务过程的、超过卖方存货和设备一半的销售或一系列销售,以批量销售协议日期时的价值衡量。
(ii)CA 商业法 Code § 6102(a)(3)(ii) 在所有其他情况下,指不属于卖方正常业务过程的、超过卖方存货和设备一半的销售,以批量销售协议日期时的价值衡量。
(4)CA 商业法 Code § 6102(a)(4) “索赔”指向卖方要求付款的权利,无论该权利是否已判决、已清算、已确定、已到期、有争议、有担保、合法或衡平。该术语仅在本州法律允许索赔持有人在对债务人的诉讼中追回收取费用和律师费的范围内,才包括这些费用。
(5)CA 商业法 Code § 6102(a)(5) “索赔人”指持有在卖方业务中产生的索赔的人,但以下任何一项除外:
(i)CA 商业法 Code § 6102(a)(5)(i) 未担保且未到期的雇佣报酬和福利索赔,包括佣金、假期工资、遣散费和病假工资。
(ii)CA 商业法 Code § 6102(a)(5)(ii) 个人或财产损害索赔,或违反保证索赔,除非满足以下所有条件:
(A)CA 商业法 Code § 6102(a)(5)(A) 索赔的诉讼权已产生。
(B)CA 商业法 Code § 6102(a)(5)(B) 索赔已向卖方提出。
(C)CA 商业法 Code § 6102(a)(5)(C) 卖方知道提出索赔的人的身份以及其提出索赔的依据。
(iii)CA 商业法 Code § 6102(a)(5)(C)(iii) 欠政府单位的税款索赔,如果满足以下两个条件:
(A)CA 商业法 Code § 6102(a)(5)(A) 规范索赔执行的法规允许或要求以不符合本分部要求的方式向政府单位发出批量销售通知。
(B)CA 商业法 Code § 6102(a)(5)(B) 已根据该法规发出通知。
(6)CA 商业法 Code § 6102(a)(6) “债权人”指索赔人或持有索赔的其他个人。
(7)Copy CA 商业法 Code § 6102(a)(7)
(i)Copy CA 商业法 Code § 6102(a)(7)(i) “批量销售日期”指以下任一情况:
(A)CA 商业法 Code § 6102(a)(7)(i)(A) 如果销售是拍卖销售或由清算人代表卖方进行,则指超过10%的净收益已支付给卖方或为卖方利益支付的日期。
(B)CA 商业法 Code § 6102(a)(7)(i)(B) 在所有其他情况下,指以下任一情况发生日期中的较晚者:
(I)CA 商业法 Code § 6102(a)(7)(i)(B)(I) 超过10%的净合同价格已支付给卖方或为卖方利益支付。
(II) 超过10%的资产(以价值衡量)已转让给买方。
(ii)CA 商业法 Code § 6102(a)(7)(i)(B)(ii) 就本款而言,以下规定适用:
(A)CA 商业法 Code § 6102(a)(7)(i)(A) 向卖方或为卖方利益交付可转让票据(第3104条(1)款)以交换资产,构成按比例支付合同价格。
(B)CA 商业法 Code § 6102(a)(7)(i)(B) 在合同价格存入托管账户的范围内,当卖方获得无条件收取存款的权利时,或当存款交付给卖方或为卖方利益时(以较早者为准),合同价格即视为已支付给卖方或为卖方利益支付。
(C)CA 商业法 Code § 6102(a)(7)(i)(C) 当持有无担保索赔的人无法再通过司法程序获得优于因批量销售而产生的买方对资产的权利时,资产即视为已转让。持有无担保索赔的人至少在买方根据批量销售协议拥有无条件占有有形资产的权利之前,可以获得对该有形资产的上述优先权利;持有无担保索赔的人至少在买方根据批量销售协议拥有无条件使用无形资产的权利之前,可以获得对该无形资产的上述优先权利。
(8)CA 商业法 Code § 6102(a)(8) “Date of the bulk-sale agreement” means either of the following:
(i)CA 商业法 Code § 6102(a)(8)(i) In the case of a sale by auction or conducted by a liquidator (subparagraph (i) of paragraph (3)), the date on which the seller engages the auctioneer or liquidator.
(ii)CA 商业法 Code § 6102(a)(8)(ii) In all other cases, the date on which a bulk-sale agreement becomes enforceable between the buyer and the seller.
(9)CA 商业法 Code § 6102(a)(9) “Debt” means liability on a claim.
(10)CA 商业法 Code § 6102(a)(10) “Liquidator” means a person who is regularly engaged in the business of disposing of assets for businesses contemplating liquidation or dissolution.
(11)CA 商业法 Code § 6102(a)(11) “Net contract price” means the new consideration the buyer is obligated to pay for the assets less
each of the following:
(i)CA 商业法 Code § 6102(a)(11)(i) The amount of any proceeds of the sale of an asset, to the extent the proceeds are applied in partial or total satisfaction of a debt secured by the asset.
(ii)CA 商业法 Code § 6102(a)(11)(ii) The amount of any debt to the extent it is secured by a security interest or lien that is enforceable against the asset before and after it has been sold to a buyer. If a debt is secured by an asset and other property of the seller, the amount of the debt secured by a security interest or lien that is enforceable against the asset is determined by multiplying the debt by a fraction, the numerator of which is the value of the new consideration for the asset on the date of the bulk sale and the denominator of which is the value of all property securing the debt on the date of the bulk sale.
(12)CA 商业法 Code § 6102(a)(12) “Net proceeds” means the new consideration received for assets sold at a sale by auction or a sale conducted by a liquidator on the seller’s behalf
less each of the following:
(i)CA 商业法 Code § 6102(a)(12)(i) Commissions and reasonable expenses of the sale.
(ii)CA 商业法 Code § 6102(a)(12)(ii) The amount of any proceeds of the sale of an asset, to the extent the proceeds are applied in partial or total satisfaction of a debt secured by the asset.
(iii)CA 商业法 Code § 6102(a)(12)(iii) The amount of any debt to the extent it is secured by a security interest or lien that is enforceable against the asset before and after it has been sold to a buyer. If a debt is secured by an asset and other property of the seller, the amount of the debt secured by a security interest or lien that is enforceable against the asset is determined by multiplying the debt by a fraction, the numerator of which is the value of the new consideration for the asset on the date of the bulk sale and the denominator of which is the value of all property securing the debt on the date of the bulk sale.
(13)CA 商业法 Code § 6102(a)(13) A sale is “in the ordinary course of the seller’s
business” if the sale comports with usual or customary practices in the kind of business in which the seller is engaged or with the seller’s own usual or customary practices.
(14)CA 商业法 Code § 6102(a)(14) “United States” includes its territories and possessions and the Commonwealth of Puerto Rico.
(15)CA 商业法 Code § 6102(a)(15) “Value” means fair market value.
(16)CA 商业法 Code § 6102(a)(16) “Verified” means signed and sworn to or affirmed.
(b)CA 商业法 Code § 6102(b) The following definitions in other divisions apply to this division:
(1)CA 商业法 Code § 6102(b)(1) “Buyer.” Paragraph (a) of subdivision (1) of Section 2103.
(2)CA 商业法 Code § 6102(b)(2) “Equipment.” Paragraph (33) of subdivision (a) of Section 9102.
(3)CA 商业法 Code § 6102(b)(3) “Inventory.” Paragraph (48) of subdivision (a) of Section 9102.
(4)CA 商业法 Code § 6102(b)(4) “Sale.” Subdivision (1) of Section 2106.
(5)CA 商业法 Code § 6102(b)(5) “Seller.” Paragraph (d) of subdivision (1) of Section 2103.
