(3)CA 保险 Code § 1104.9(a)(3) As used in this section, “qualified subcustodian” means an entity located in this state or a reciprocal state (A)
that holds securities of the domestic insurer, and maintains an account through which the securities are held, in this state or a reciprocal state and (B) that has shareholder equity of at least one hundred million dollars ($100,000,000) or is able to demonstrate to the satisfaction of the commissioner that it is financially secure. The qualified subcustodian shall be: (A) a commercial bank, a savings and loan association, or a trust company (other than trust departments of title insurance companies); (B) a subsidiary of a qualified custodian; or (C) any entity approved by the commissioner as a qualified subcustodian. The commissioner may consider, among other factors, evidence of the following in order to determine whether a subcustodian is financially secure for the purpose of this subdivision: (i) its obligations are guaranteed by its parent company, (ii) its parent holding company has shareholder equity of at least one hundred million dollars ($100,000,000), or (iii) it is a member of a holding company
system with shareholder equity of at least one hundred million dollars ($100,000,000). A “qualified subcustodian” may also include an entity that is located outside the United States that is used by the domestic insurer for the purpose of obtaining access to a qualified depository located outside the United States. The qualified foreign subcustodian shall be a banking institution or trust company, incorporated or organized under the laws of a country other than the United States, that is regulated by that country’s government or an agency thereof, and that has shareholders’ equity in excess of two hundred million dollars ($200,000,000), whether in United States dollars or the equivalent of United States dollars, as of the close of its most recently completed fiscal year; or a majority-owned direct or indirect subsidiary of a qualified United States bank or bank holding company, if the subsidiary is incorporated or organized under the laws of a country other than the United States and has shareholders’ equity
in excess of one hundred million dollars ($100,000,000), whether in United States dollars or the equivalent of United States dollars, as of the close of its most recently completed fiscal year; or is able to demonstrate to the satisfaction of the commissioner that it is financially secure. The commissioner may consider, among other factors, evidence of the following in order to determine whether a qualified foreign subcustodian is financially secure for purposes of this subdivision: (i) its obligations are guaranteed by its parent company, (ii) its parent holding company has shareholder equity of at least two hundred million dollars ($200,000,000), or (iii) it is a member of a holding company system with shareholder equity of at least two hundred million dollars ($200,000,000).
(4)CA 保险 Code § 1104.9(a)(4) As used in this section, “subsidiary” means: (A) an entity all of whose voting securities (other than director qualifying shares, if any) are owned, directly or
indirectly, by a qualified custodian; or (B) any affiliated entity approved by the commissioner as a subsidiary of a qualified custodian. For the purpose of this section, an affiliated entity means an entity that (A) controls or is controlled, either directly or indirectly or through one or more intermediaries, by a qualified custodian or (B) is under the common control, directly or indirectly, as or with a qualified custodian.
(5)CA 保险 Code § 1104.9(a)(5) As used in this section, “entity approved by the commissioner as a qualified custodian,” “entity approved by the commissioner as a qualified depository,” “entity approved by the commissioner as a qualified subcustodian,” and “entity approved by the commissioner as a subsidiary of a qualified custodian” mean those entities that meet the conditions or standards established by the commissioner. The commissioner shall charge and collect in advance a one-time fee of two thousand two hundred forty-one dollars ($2,241) to
review an application for approval of any entity pursuant to this section.
(6)CA 保险 Code § 1104.9(a)(6) As used in this section, “reciprocal state” has the same meaning as in subdivision (f) of Section 1064.1.
(7)CA 保险 Code § 1104.9(a)(7) As used in this section, “moneys” means cash held incidental to securities transactions occurring in the ordinary course of business with respect to securities held pursuant to the custodial agreements under this section.
(d)CA 保险 Code § 1104.9(d) 合格保管人与保险人之间的协议,除非合格保管人同意遵守本条规定,否则不得获得专员的批准。除非该协议是与原始授权证书或变额寿险和变额年金资格申请一并提交的,否则在提交协议供批准时,应向专员支付七百四十八美元 ($748) 的费用。但是,如果协议的形式此前已提交批准并经专员批准,且由向专员提交协议的保险人和合格保管人证明,则无需支付费用。除非专员在收到该协议和任何所需备案费后的 (60) 天内书面不批准该协议并列出具体不批准理由,否则该协议应被视为已批准。
(e)CA 保险 Code § 1104.9(e) 尽管根据协议将证券存放在州外合格存管机构或合格次级保管人处,如果专员有合理理由相信该国内保险人 (1) 正在以可能导致其资不抵债的方式经营其业务和事务,或 (2) 处于危险状况或正在以对其保单持有人、债权人或公众有害的方式经营其业务和事务,或 (3) 已经或正在实施或已经或正在从事任何构成使其受到接管或清算程序理由的行为,或者如果专员确定除非立即采取行动,否则该国内保险人的财产和业务已遭受或可能遭受不可弥补的损失和损害,则专员可以不经听证,命令该保险人和合格保管人立即将证券从任何位于本州以外的合格存管机构或合格次级保管人处转回至位于本州的合格保管人、合格次级保管人或合格存管机构(“转让令”)。收到转让令后,合格保管人应立即办理证券的返还。尽管 (f) 款规定的任何听证或诉讼正在进行中,受该命令约束的人员仍应遵守转让令。对转让令有效性的任何质疑应根据 (f) 款提出。保险人和合格保管人均有责任监督转让令的遵守工作尽快完成。收到转让令后,除非有专员的具体指示,否则在证券运抵本州之前,不得进行证券交易,但保险人收到转让令当日正在进行的交易,且未能完成交易可能导致保险人账户损失的情况除外。转让令的签发不影响合格保管人对作为该命令标的的证券所承担的责任。
(f)CA 保险 Code § 1104.9(f) 在送达转让令的同时,专员应向保险人发出并送达听证通知,听证会应在其中确定的时间地点举行,且不得早于送达之日后的 (20) 天,也不得晚于 (45) 天。经保险人请求并经部门同意,听证会可在更短的时间内举行,但无论如何不得少于听证通知送达之日后的 (10) 天。转让令及听证通知可通过挂号信、特快专递、信使、电报或任何其他旨在向 (1) 协议中指定的保险人加州办事处、其最近提交的年度或季度报表中显示的其总部,或其在加州的送达传票代理人;以及 (2) 协议中指定的合格保管人加州办事处提供及时实际通知的方式送达。如果听证结果发现关于行为、状况或转让令理由的任何陈述属实,或者如果在听证会上发现或知晓其他状况或理由并被认定属实,专员应确认转让令,并可作出与转让令相关的、合理必要的额外命令。
受转让令约束的保险人有权就专员在听证后发出的命令在本州进行司法审查。
或者,在关于转让令的听证会开始之前的任何时候,保险公司可以放弃听证会,并通过申请强制令状和宣告性救济,在此州对转让令进行司法审查,而无需首先用尽行政救济或程序。在这种情况下,保险公司在审判前无权获得任何特别救济。
除保险公司以外的任何人都无权在专员主持的听证会上出庭,或对转让令进行任何司法审查。
