本章中使用的下列定义适用:
(a)CA 商业与专业 Code § 11212(a) “住宿单位”指任何公寓、共有公寓或合作公寓单元、小屋、旅馆、酒店或汽车旅馆客房,或根据适用法律设计并可供一人或多人作为住所使用和居住的、内含卫生设施的其他私人或商业结构,或商业客船上的任何单元或铺位,这些均包含在分时度假计划的销售中。
(b)CA 商业与专业 Code § 11212(b) “广告”指任何书面、口头或电子通讯,其针对或面向本州内人员,或从本州发出或与位于本州的分时度假计划相关的通讯,并包含推广、诱导或出售分时度假计划的要约,包括但不限于宣传册、小册子、广播和电视脚本、电子媒体、电话和直邮招揽以及其他推广方式。
(c)CA 商业与专业 Code § 11212(c) “协会”指由分时度假计划中分时度假权益购买者组成的有组织机构。
(d)CA 商业与专业 Code § 11212(d) “分摊费用”指由管理实体不时向每位购买者征收的、用于支付共同费用所需的资金份额。
(e)CA 商业与专业 Code § 11212(e) “部门”指“房地产部”。
(f)CA 商业与专业 Code § 11212(f) “专员”指房地产专员。
(g)CA 商业与专业 Code § 11212(g) “组成地点”指多地点分时度假计划中的住宿单位所在的特定地理位置。位于特定地理位置且由共同管理的分时度假物业的不同阶段不应被视为组成地点。
(h)CA 商业与专业 Code § 11212(h) “醒目字体”指以下任一:
(1)CA 商业与专业 Code § 11212(h)(1) 页面上出现的字体,其大小比最近的非醒目字体大两磅,不包括标题,但至少为10磅字体,且为大写和小写字母。
(2)CA 商业与专业 Code § 11212(h)(2) 醒目字体仅在法律要求或经专员授权的情况下,方可在购买合同或公共许可证中使用。
(i)CA 商业与专业 Code § 11212(i) “开发商”指并包括创建分时度假计划或从事分时度假权益销售业务的任何人,但不包括代表开发商销售分时度假权益的开发商雇员或代理人,或聘请代理人从事相同业务的任何人,或通过出售、租赁、转让、抵押或其他转让方式继承开发商权益的任何人,但该术语仅包括在正常业务过程中提供分时度假权益以供处置的个人。
(j)CA 商业与专业 Code § 11212(j) “处置”或“处分”指分时度假计划中任何法定或衡平权益的自愿转让或让与,但不包括担保权益的转让、让与或解除。
(k)CA 商业与专业 Code § 11212(k) “交换公司”指拥有或运营,或同时拥有和运营交换计划的任何人。
(l)CA 商业与专业 Code § 11212(l) “交换计划”指任何自愿交换分时度假权益或其他财产权益的方法、安排或程序。该术语不包括将使用和占用住宿单位的权利分配给单一地点分时度假计划内分时度假权益所有者的情况。任何符合此定义的其他方法、安排或程序,如果购买者在任何单独的、循环的分时度假期间的总合同财务义务超过三千美元 ($3,000),则应根据本章作为分时度假计划进行监管。为了确定购买者的总合同财务义务,因续订和续订选择权而支付的金额应包含在该术语中,但以下情况除外:(1) 购买者可自行选择行使的任何可选续订所产生的应付金额,(2) 购买者有权在续订期内随时终止并获得剩余未到期续订期按比例退款的任何自动续订所产生的应付金额,或 (3) 购买者在续订日期前不少于30天但不超过90天收到书面通知,告知其在续订日期前终止权利的任何自动续订所产生的应付金额。尽管有这些例外情况,如果任何续订期的任何三年期间的合同财务义务超过三千美元 ($3,000),则因该续订而支付的金额应包含在确定购买者的总合同财务义务中。
(m)CA 商业与专业 Code § 11212(m) “Incidental benefit” is an accommodation, product, service, discount, or other benefit, other than an exchange program, that is offered to a prospective purchaser of a time-share interest prior to the end of the rescission period set forth in Section 11238, the continuing availability of which for the use and enjoyment of owners of time-share interests in the time-share plan is limited to a term of not more
than three years, subject to renewal or extension. The term shall not include an offer of the use of the accommodation, product, service, discount, or other benefit on a free or discounted one-time basis.
(n)CA 商业与专业 Code § 11212(n) “Managing entity” means the person who undertakes the duties, responsibilities, and obligations of the management of a time-share plan.
(o)CA 商业与专业 Code § 11212(o) “Offer” means any inducement, solicitation, or other attempt, whether by marketing, advertisement, oral or written presentation, or any other means, to encourage a person to acquire a time-share interest in a time-share plan, other than as security for an obligation.
(p)CA 商业与专业 Code § 11212(p) “Person” means a natural person, corporation, limited liability company, partnership, joint venture, association, estate, trust, government, governmental subdivision or agency, or other legal entity, or any
combination thereof.
(q)CA 商业与专业 Code § 11212(q) “Promotion” means a plan or device, including one involving the possibility of a prospective purchaser receiving a vacation, discount vacation, gift, or prize, used by a developer, or an agent, independent contractor, or employee of any of the same on behalf of the developer, in connection with the offering and sale of time-share interests in a time-share plan.
(r)CA 商业与专业 Code § 11212(r) “Public report” means a preliminary public report, conditional public report, final public report, or other such disclosure document authorized for use in connection with the offering of time-share interests pursuant to this chapter.
(s)CA 商业与专业 Code § 11212(s) “Purchaser” means any person, other than a developer, who by means of a voluntary transfer for consideration acquires a legal or equitable interest in a time-share plan other than as security for
an obligation.
(t)CA 商业与专业 Code § 11212(t) “Purchase contract” means a document pursuant to which a developer becomes legally obligated to sell, and a purchaser becomes legally obligated to buy, a time-share interest.
(u)CA 商业与专业 Code § 11212(u) “Reservation system” means the method, arrangement, or procedure by which a purchaser, in order to reserve the use or occupancy of any accommodation of a multisite time-share plan for one or more time-share periods, is required to compete with other purchasers in the same multisite time-share plan, regardless of whether the reservation system is operated and maintained by the multisite time-share plan managing entity, an exchange company, or any other person. If a purchaser is required to use an exchange program as the purchaser’s principal means of obtaining the right to use and occupy accommodations in a multisite time-share plan, that arrangement shall be deemed a reservation system.
When an exchange company utilizes a mechanism for the exchange of use of time-share periods among members of an exchange program, that utilization is not a reservation system of a multisite time-share plan.
(v)CA 商业与专业 Code § 11212(v) “Short-term product” means the right to use accommodations on a one-time or recurring basis for a period or periods not to exceed 30 days per stay and for a term of three years or less, and that includes an agreement that all or a portion of the consideration paid by a person for the short-term product will be applied to or credited against the price of a future purchase of a time-share interest or that the cost of a future purchase of a time-share interest will be fixed or locked-in at a specified price.
(w)CA 商业与专业 Code § 11212(w) “Time-share instrument” means one or more documents, by whatever name denominated, creating or governing the operation of a time-share plan and includes the
declaration dedicating accommodations to the time-share plan.
(x)CA 商业与专业 Code § 11212(x) “Time-share interest” means and includes either of the following:
(1)CA 商业与专业 Code § 11212(x)(1) A “time-share estate,” which is the right to occupy a time-share property, coupled with a freehold estate or an estate for years with a future interest in a time-share property or a specified portion thereof.
(2)CA 商业与专业 Code § 11212(x)(2) A “time-share use,” which is the right to occupy a time-share property, which right is neither coupled with a freehold interest, nor coupled with an estate for years with a future interest, in a time-share property.
(y)CA 商业与专业 Code § 11212(y) “Time-share period” means the period or periods of time when the purchaser of a time-share plan is afforded the opportunity to use the accommodations of a time-share plan.
(z)CA 商业与专业 Code § 11212(z) “分时度假计划”指除交换计划外,通过会员协议、出售、租赁、契约、许可、使用权协议或任何其他方式,购买者以对价为交换,获得住宿的所有权或使用权,该使用权在任何给定年份内使用期限少于一年,并以重复方式持续一年以上,但不一定是连续年份的任何安排、计划、方案或类似装置。分时度假计划可以是以下任一种:
(1)CA 商业与专业 Code § 11212(1) “单点分时度假计划”,指在单一分时度假物业中使用住宿的权利。
(2)CA 商业与专业 Code § 11212(2) “多点分时度假计划”,包括以下任一种:
(A)CA 商业与专业 Code § 11212(A) “特定分时度假权益”,指在特定分时度假物业中使用住宿的权利,连同通过分时度假计划的预订系统创建或获得的、一个或多个其他组成地点住宿的使用权。
(B)CA 商业与专业 Code § 11212(B) “非特定分时度假权益”,指通过分时度假计划的预订系统创建或获得的、在多个组成地点中使用住宿的权利,但不包括使用任何特定住宿的特定权利。
(aa) “分时度假物业”指受同一分时度假文书约束的一个或多个住宿,连同附属于这些住宿的任何其他财产或财产权。
